Foreign entrepreneurs and investors who establish a company in Croatia typically engage a local lawyer to manage the incorporation process. The lawyer’s competence is often assessed on the basis of their familiarity with procedural requirements and their ability to communicate in the client’s language. However, there is one aspect of the engagement that reliably distinguishes experienced corporate counsel from those with more limited expertise.
An experienced lawyer will, without being prompted, address the appointment of a Registered Agent and the management of the company’s official correspondence address. A lawyer who does not raise this matter — or who proposes an informal arrangement as a substitute — is providing incomplete advice.
A Statutory Option Frequently Overlooked
Article 396 of the Croatian Companies Act (Zakon o trgovačkim društvima — ZTD) provides that a company may appoint a Registered Agent (osoba za primanje očitovanja i pismena). Upon appointment, this person is entered into the official company register and is publicly visible in the company’s profile in the Croatian Commercial Court registry.
This provision is not widely known among practitioners. The irony is considerable: lawyers are, by the nature of their work, acutely aware of the consequences of defective service of process. Cases are lost, deadlines are forfeited, and penalties accrue — precisely because official correspondence did not reach the right person in time. A lawyer who understands this dynamic should recognise immediately the value of a properly appointed, professionally managed registered agent. The obstacle is not persuasion. It is awareness.
Professional Registered Address Management
OfficeBox by LetterBox provides a dedicated registered address service designed specifically for non-resident company owners. The service includes:
- A permanent address entered in the Croatian Commercial Court registry
- Receipt, scanning, and same-day digital forwarding of all official correspondence
- A documented record of all items received, providing a clear audit trail
- Uninterrupted continuity, independent of personnel changes or office relocations
The service represents a meaningful annual cost. It is, however, modest in comparison to the consequences of a missed court deadline, an unanswered summons, or a tax penalty that could have been avoided. A registered address service does not cost money. It protects from losing it.
OfficeBox by LetterBox has been providing registered address and registered agent services in Croatia since 2013, serving foreign company owners and their legal advisers worldwide. Please feel free to contact us for more info.
